If you have shares in Royal Mail you are entitled to vote at the AGM and send a message to the directors.

As shareholders our views do matter. It shouldn't be the big corporates deciding our future.

Below are the amendments that have been put forward and the process how to vote from Equiniti.

08 To re-appoint Maria da Cunha as a Director of the Company
09 To re-appoint Michael Findlay as a Director of the Company
10 To re-appoint Rita Griffin as a Director of the Company
11 To re-appoint Simon Thompson as a Director of the Company
12 To re-appoint KPMG LLP as Auditor of the Company
13 To authorise the Audit and Risk Committee to determine the remuneration of the Auditor

16 To authorise the Directors to disapply pre-emption rights

The Annual General Meeting (AGM) of Royal Mail plc (the Company) will take place at 11.00am on Thursday, 18 July 2019 at the Mercure Exeter Rougemont Hotel, Queen Street, Exeter, EX4 3SP Further details on the AGM including the Notice of AGM and the Annual Report and Financial Statements 2018-19 are now available to view on the Company’s website: http://www.royalmailgroup.com/investor-centre" onclick="window.open(this.href);return false;.

AGM Voting
As your Free Shares are held on your behalf in the Share Incentive Plan (SIP), you can notify the SIP Trustee (Equiniti Share Plan Trustees Limited) to vote on your behalf with regard to these shares and you are also invited to attend the AGM.

You have chosen to receive your SIP communications electronically rather than by post. You will therefore not receive a paper SIP form of instruction for the AGM. Rather, you can tell the SIP Trustee how to vote in respect of each resolution shown in the Notice of Annual General Meeting (Notice of AGM) by going to http://www.royalmailemployeeshares.co.uk" onclick="window.open(this.href);return false; and logging in to your Employee Shares Account.

If you have previously registered and activated your account you can login from the welcome page. Once you have logged in to your account, simply click on the 'voting instruction' link under your SIP holding summary and follow the on-screen instructions. Your online voting instructions must be registered by 5.00pm on Monday, 15 July 2019.

Attending the AGM
A map and directions to the AGM can be found on page 9 of the Notice of AGM or by clicking here.

Please note that if you are a Royal Mail employee and are scheduled to work on the day of the AGM, you will need to take annual leave with the agreement of your line manager if you wish to attend the meeting. You will also be required to pay any travel and other expenses which you may incur in attending the AGM.

New to the Employee Shares Account?
If you have not previously registered for your Employee Shares Account, you will need to register as a first time user:

•From the welcome page click “register” under the first time users section. You will then need to enter your last name, date of birth and National Insurance Number (shown on your payslip).
•Please use your royalmail.com email address. This means we can send you an account activation code straight away via email. If you use an alternative email address to register, we will send the account activation code by post to your home address. You will need to wait for your activation code to arrive in the post before you can log back in and fully access your account to submit your voting instructions.

If you instruct the SIP Trustee to vote on your behalf and then decide to attend the AGM in person, any vote you give at the AGM will automatically override the instruction previously given.

We should definitely all vote NO to amendments one through to eleven inclusive and maybe the remaining amendments as well. The RM executive are not entirely to blame for the current state of the company but they seem too locked into their cost cutting regime rather than being proactive and trying to improve the situation. Keith Williams certainly should be removed from the post of chairman as he has far too many difficult jobs to do in other companies already.

I think the CWU missed an opportunity when the shares were first allocated. They should have organised a voting block from any CWU members that were interested. Then we could have perhaps had a greater influence than as individuals. I'm sure greater minds than mine must have found some reason not to. :cuppa

Can I Put an amendment that Rico Back cannot purchases anymore shares this or next year?

It's standard practice for executives to buy shares in the business they work for to show confidence in the company and their actions.
Other problems, in fact nearly everything else within RM, needs fixing from rubbish software on the PDAs right through to excessive remuneration for the bosses. I'm not defending Rico Black by the way.

Not just the amount he has acquired lot's of these shares were to be redistributed by leavers to us all without cost yet he has charged in with his £6 Million Windfall wonder where that came from?

I was thinking of a block vote of some kind, but I supposed the CWU can't be involved with talks with Rico Black and his team while telling members to vote him out.

If we spread the message we could make a difference.

We have to change we need to use our workforce more efficiently that will mean short term job losses but long term we can gain them back if (and we should) grow as a company. What we do not need is the uncertainty of Brexit the threat of strikes and workers who do not want to except change. I can see the reasoning behind the changes late collection staff need to be used more efficiently, posties can collect from the boxes that they drive past late staff can deliver parcels to take up the down time they have, the PDA actuals should make it easy to identify the amount of extra DPs the posties can have and the post boxes they can collect from. Most of us work hard some will not have any scope to do more so there will be problems but good management can overcome them.

You are correct in SOME of what you say but RM have never been good at change in the workplace. All they know is to attack terms and conditions and the wages. They cannot think out of the box. Have you looked online at the new management jobs for the bigger MCs. There called productivity managers, resourcing management, financial to predictive analytics management ect. So WTF is the MC manager, the shift manager and ML4S doing. The jobs being advertised is EXACTLY what these knobs are getting good money to already be doing but RM have a hang up back to pre privatisation, in that incompetent management were never binned they were moved around the, desk job, for life carousel. Now that it's a private company the FAT needs to be cut and RM is still far too top heavy, when the basic postie is delivering more and more. I don't like anyone losing their livelihood but it's either cut the fat, or load up with more lapsing over longer walks, holding in your pish. :arrrghhh

I feel that compared to 10 years ago we have shifted in attitude towards working our full hours, the problem is an unrealistic workload, especially when new builds and box collections are added to duties and people are expected to do these on top of any absorption.

We do need a good and realistic management, decisions are made at the top mainly to satisfy shareholders and seem a knee jerk reaction, an example of this is that the Mail Centers are not using the machinery to sort the 2nd wave of mail in walk order (1,3,5,7,9,11,13, etc) to save money on their budget. Instead the Delivery Office is going to get a tray of mail for the walk all jumble up. So any savings made in the Mail Center will be lost by the extra time taken in the DO. Might as well not use the vans to save on petrol !!

Sorry to harp on but we need to vote at the AGM as the city shareholders will vote, they are not interested in the staff or company, they are asking can we make 250 million in savings each year, what has happened to all the land that Royal Mail sold off and when do they get their slice of the cake, once they have sucked the last penny for their shareholders they will sell their shares and invest in a new victim.

That's down to DOs wanting their wave 2 earlier and not having to hang around for a couple of hours for it to arrive

Second wave sequence is only small anyhow, makes little difference to overall prep.

point taken as it's only meant to be 15% to 20% of mail, however on heavy days people with a double prep this will be effected as they are sorting two lots of mail, also if the working week is reduced by another hour in October will this still be the policy. We spend millions on automation and told about these tools to make the job easier and we don't use it.

Cant argue with what you say too many non productive workers and very poor management, as for us posties its very uneven some are working to the limit and some others are finishing early it is never addressed because the company is run on the o/t that early finishers mop up.
