Can Royalmail legally withhold your shares in IHR settlement agreement?

If they decide 'you' are a bad leaver, despite being offed under IHR then I would imagine they can.
Edit: Reading your previous posts I see you are effectively resigning and giving ill health as the reason ie voluntary IHR rather than RM retiring you on IH grounds so you have no claim to the shares, sorry, should have held out for IHR being offered.

Don't understand why I would be considered a bad leaver.When ultimately its VR I'm taking due to ongoing longterm health conditions.
I was of the understanding that's covered with regards to getting your shares?

Yes if Royal Mail Retired you through ill health they would have to pay you. But if you resign because of ill health then it's a resignation, the cause of the resignation is immaterial.
Also, it's not Voluntary Redundancy as Royal Mail are not dismissing you, you are resigning.Sorry.
