The 370p share deal

Post by Amytalldean »

Just wondering, not sure if I'm too late with this, I got my letter a while back about it and must have binned it. Is the deal deadline already passed or is there still a way to accept it online?

The offer hasn't gone 'unconditional' yet AFAIK, so I would imagine the below info is still extant:
How long do I have to accept the offer?
• The offer can be accepted from 26 June 2024 and can continue to be accepted until the offer is
closed. IDS shareholders are encouraged to accept the offer as soon as possible and in any event
before 1pm on the Unconditional Date. The Unconditional Date is not currently known but will be
announced to the market in due course.
• If you hold your shares through the Share Incentive Plan (SIP) or Corporate Sponsored Nominee
(CSN), you should instruct the SIP Trustee or CSN (as applicable) to accept the offer as soon as
possible and no later than 1.00pm 3 business days before the Unconditional Date. Instructions
received by the Trustee or Nominee (as applicable) after 1.00pm 3 business days before the
Unconditional Date, but before the offer closes, will still be valid but will fall into the next cycle for
processing and payment.
What happens if I have not sent my acceptance by the unconditional date? Can I still do so?
• If the offer is unconditional, i.e. EP Group has attained the 75% threshold and the various
regulatory conditions are satisfied or waived, EP Group will be required to keep the offer open for
at least 14 days before the offer is closed. EP Group will give 14 days’ notice before the offer is
closed for acceptance.

Also - i’m dancing on the head of a pin here - but it’s a deal worth £3.68.
We were going to get the 2p dividend regardless if the deal goes ahead and dare I say IMO regardless if they even made an offer.

Onto your main question, even when the deal goes unconditional, there will be 14 days for people to offer up their shares.

Ah cool, so where do I go to accept the offer, who would I have to phone, or what website gives me the option to accept it?

Start a dialogue with Equiniti, and see if they can e-mail your letter over to you ?

If the bid is ultimately successful (90%), there may be a "squeeze- out".

All of the shares get hoovered up by Bidco automatically.

Someone please clarify this point please.

Shares for which the offer has not been accepted will be bought compulsorily if 90% of shareholders
(which would be Bidco (Kretinsky) if the takeover is successful) agree.

You wouldn't be able to sit on your shares for ever saying 'Nope - not selling!'
