TUPE does not apply to:
transfers by share take-over because, when a company's shares are sold to new shareholders, there is no transfer of the business: the same company continues to be the employer

Transfer from gov. hands to private would be share transfer; sale of some of the 50004 shares or 2 special shares.

Yes ,unfortunately I could not afford the £30k fee required to set up an offshore account necessary to avoid paying tax on my UK income :chuckle
