Directors/Board Bonus

Am I correct in thinking that the bonus scheme for the board, CEO , etc is still based on shareholders value.
Meaning that despite making a loss a small dividend is going to be paid out thereby allowing these huge bonuses to paid to CEO, etc.
I do hope I am wrong as it will be paid out for failure!

No dividends paid out for a while.
